Terms of Service

1. Acceptance of Terms

Slangsmith (the "Service") is operated by Pengwinning, Inc. ("Pengwinning", "we", "us"), a company incorporated in the State of Delaware, United States. By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not use the Service. These Terms apply to all visitors, users, and others who access or use the Service, including users who sign in through social or third-party accounts.

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may only use the Service under the supervision of a parent or legal guardian who agrees to these Terms. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into these Terms.

3. About the Service

Slangsmith uses artificial intelligence to translate phrases into different generational, historical, and stylistic vernaculars. Translations are generated automatically and are intended for entertainment, education, and casual use. We do not guarantee that any translation is accurate, complete, culturally precise, or appropriate for a particular audience or context.

4. User Accounts

Some features of the Service may require you to create an account or connect a third-party account (such as a social media account). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately if you believe your account has been compromised or used without authorization.

5. User Responsibilities

When using the Service, you agree that you will:

• Provide accurate and truthful information if you choose to create an account or submit contact details.
• Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
• Respect the rights of others, including intellectual property rights and privacy rights.
• Not submit content that is unlawful, abusive, harassing, hateful, defamatory, obscene, sexually explicit, or that promotes violence or discrimination.
• Not use the Service to generate, distribute, or promote content that infringes on the rights of any third party.
• Not submit personal information about others without their consent.
• Not interfere with or disrupt the Service, including by introducing malware, viruses, or other harmful code, or by attempting to bypass any security measures.
• Not use automated means, such as bots or scrapers, to access or use the Service in ways that are not authorized or that impose unreasonable loads on our infrastructure.

6. Prohibited Content and Conduct

You may not use the Service to create, share, or request content that:

• Violates any local, national, or international law or regulation.
• Is intended to harm, exploit, or intimidate minors or any other person.
• Infringes copyrights, trademarks, trade secrets, or other intellectual property rights.
• Impersonates another person or misrepresents your affiliation with any person or entity.
• Contains spam, phishing, or other deceptive or unwanted material.

We reserve the right to remove content, suspend accounts, or terminate access to the Service for violations of these rules.

7. Your Content

You retain ownership of any text, phrases, or other content you submit to the Service ("Your Content"). By submitting Your Content, you grant Slangsmith a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display Your Content for the purpose of operating, improving, and promoting the Service, including generating, displaying, storing, and sharing translations.

You represent and warrant that you own or have the necessary rights to Your Content and that its use on the Service does not violate these Terms or any third-party rights.

8. Intellectual Property

The Service and its original content, features, and functionality (including but not limited to software, code, designs, graphics, logos, and text) are and will remain the exclusive property of Slangsmith and its licensors. The Service is protected by copyright, trademark, and other laws. Nothing in these Terms grants you a right to use our trademarks, trade names, or other branding without our prior written consent.

9. Third-Party Services and Links

The Service may contain links to third-party websites or services that are not owned or controlled by Slangsmith. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party services. Your use of third-party services is governed by their own terms and policies.

10. Paid Plans, Billing, and Merchant of Record

Some features of the Service are offered as paid plans (subscriptions or one-time purchases). Current plans and prices are shown on our Pricing page. Subscriptions renew automatically at the end of each billing period (for example, monthly or yearly) at the then-current price for the applicable plan, unless you cancel before the renewal date. You can cancel a subscription at any time; cancellation takes effect at the end of the current billing period and you retain access until then. One-time purchases are not subject to recurring billing.

Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle, not Pengwinning, processes your payment, calculates and remits applicable taxes, issues invoices and receipts, and handles billing-related disputes and chargebacks. Your purchase is also subject to Paddle's Buyer Terms. Refunds are handled in accordance with our Refund Policy.

You agree to provide current, complete, and accurate billing information and to keep it up to date. If a charge fails or is reversed, we may suspend or terminate access to paid features until the issue is resolved.

11. Indemnification

You agree to indemnify, defend, and hold harmless Slangsmith, its operators, affiliates, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, Slangsmith disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any translations will be accurate, appropriate, or reliable for your intended use. You acknowledge that AI-generated outputs may be unpredictable and that you use them at your own discretion.

13. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Slangsmith, its operators, affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service, even if we have been advised of the possibility of such damages.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Service exceed the greater of (a) the amount you have paid us to use the Service in the twelve (12) months preceding the event giving rise to liability, or (b) one hundred United States dollars (USD $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation, it shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will update the "Last updated" date on this page. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.

16. Termination and Suspension

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including but not limited to violations of these Terms, suspected fraudulent or illegal activity, or behavior that harms the Service or other users. Upon termination, all licenses granted to you under these Terms will immediately cease, and you must stop using the Service.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Slangsmith regarding the Service and supersede any prior or contemporaneous agreements, understandings, or communications, whether written or oral.
